Terms and Conditions

4. Project Engagement & Scope

All services are provided based on:

• An approved proposal

• A defined scope of work

• Written confirmation (email is valid)

Any additional requests outside the agreed scope may:

• Be quoted separately

• Affect the timeline

• Require a contract amendment

We reserve the right to decline additional work that falls outside the original agreement.

5. Fees & Payments

Unless otherwise stated in a signed agreement:

• A deposit may be required before work begins

• Invoices are due within the stated payment terms

• Late payments may result in work suspension

All prices are exclusive of VAT unless specified otherwise.

Ownership transfer of deliverables occurs only after full payment has been received.

6. Intellectual Property

6.1 Client Materials

The Client retains ownership of all materials provided to WebStone Studio.

6.2 Project Deliverables

Upon full payment:

• The Client receives rights to use the final approved deliverables

• WebStone Studio retains the right to showcase the project in portfolio, case studies, and marketing materials unless otherwise agreed in writing

6.3 Third-Party Assets

Any third-party plugins, licenses, fonts, APIs, or external services remain subject to their respective licenses.

The Client is responsible for maintaining active licenses unless explicitly agreed otherwise.

7. Website Maintenance & Hosting

Unless part of a separate maintenance agreement:

• Ongoing updates are not included

• Security updates are not guaranteed

• WebStone Studio is not responsible for issues arising after project delivery

If maintenance services are contracted, they are governed by a separate agreement.

8. Limitation of Liability

WebStone Studio shall not be liable for:

• Indirect or consequential damages

• Loss of revenue, profit, or business interruption

• Third-party service failures (hosting providers, APIs, plugins, etc.)

• Security breaches caused by third-party software

Total liability shall not exceed the total fees paid for the specific project.

9. Client Responsibilities

The Client agrees to:

• Provide accurate and timely information

• Deliver required materials (content, branding assets, access credentials)

• Review and approve deliverables within reasonable time

Delays caused by the Client may affect project timelines.

10. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties without consent.

This obligation survives project completion.

11. Termination

Either party may terminate a project agreement in writing.

In such cases:

• The Client must pay for work completed up to the termination date

• Deposits may be non-refundable unless stated otherwise

12. Governing Law

These Terms are governed by the laws of Romania.

Any disputes shall be subject to the jurisdiction of Romanian courts.

13. Amendments

WebStone Studio reserves the right to update these Terms at any time.
